Terms of
Service.

These terms govern every Kingwest engagement — voice agents, automations, marketing sites, AI features and retainers — and should be read alongside the SOW signed for your project. They are written to be plain and tight; the binding language is here and in the SOW.

Acceptance of terms

By engaging Kingwest AI Inc. (“Kingwest”, “we”, “us”) for any of our services — AI voice agents, workflow automations, marketing sites, AI features, custom AI applications, advisory or retainer work — you agree to these Terms of Service together with the Statement of Work (SOW) signed for your engagement.

Services

Kingwest provides AI voice agents (inbound and outbound), workflow automations, marketing websites, AI features and related advisory services. The exact scope, deliverables, timelines and acceptance criteria for each engagement are set out in the applicable SOW.

Where we commit to a “Day 0” voice agent launch or week-long ship window, that commitment applies only when the client provides the inputs (call scripts, brand voice, integrations, access) listed in the SOW within the timeline noted there.

Fees & payment

Engagements are priced on a fixed-fee basis, set out in the SOW. Unless otherwise agreed, an initial invoice is due on signature and the balance is due on production handover. Retainers are billed monthly in advance.

All payments are processed securely via Stripe. Late invoices accrue interest at the rate stated in the SOW. Recurring usage costs (LLM tokens, voice minutes, telephony, hosting, third-party APIs) are passed through at cost or as separately specified.

Intellectual property

Subject to full payment, Kingwest assigns to the client all right, title and interest in the deliverables created under the SOW — including prompts, code, workflows, fine-tuned weights and documentation — excluding any pre-existing Kingwest tooling, frameworks, libraries or know-how, which Kingwest licenses to the client on a non-exclusive basis solely for use of the deliverables.

Confidentiality

Each party will hold the other's confidential information in confidence and use it only to perform the engagement. We are happy to sign mutual NDAs, DPAs and equivalents on request.

Acceptable use

Voice agents and AI systems built by Kingwest must be used in compliance with applicable laws — including telecommunications, consumer protection, privacy and AI regulations in the jurisdictions where the system operates. The client is responsible for compliance with calling regulations (TCPA, CASL, equivalents) relating to outbound calls placed using the system.

Warranties & disclaimers

Kingwest warrants that the deliverables will, on production handover, materially conform to the acceptance criteria in the SOW. Except as set out in the SOW, services and deliverables are provided “as is”, and Kingwest disclaims all other warranties to the maximum extent permitted by law.

Limitation of liability

Except for liability that cannot be limited by law (gross negligence, wilful misconduct, fraud, IP indemnification, breach of confidentiality), each party's aggregate liability under an engagement is capped at the fees paid under the applicable SOW in the twelve months preceding the claim. Neither party is liable for indirect, incidental, special, consequential or punitive damages.

Termination

Either party may terminate an SOW for material breach by the other on thirty (30) days' written notice if the breach is not cured in that period. On termination, the client pays for all work performed up to the effective date and Kingwest hands over the work-in-progress.

Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes will be resolved in the courts of Toronto, Ontario, except either party may seek injunctive relief in any court of competent jurisdiction.
